3. True North Local Business Alerts (SMS Program)

Program Description: This program sends SMS notifications to local service businesses regarding new lead alerts, qualified call confirmations, and project status updates.

Opt-Out: You can cancel the SMS service at any time. Simply text "STOP" to the shortcode. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

Assistance: If you experience issues with the messaging program, reply with the keyword HELP for more assistance, or reach out directly to [email protected].

Liability: Carriers are not liable for delayed or undelivered messages.

Rates & Frequency: As always, message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies. For questions about your text plan or data plan, contact your wireless provider.

4. User Eligibility and Registration

To use our Services, you must:

Be at least 18 years old or the age of legal majority in your jurisdiction

Have the legal authority to enter into this agreement

Our Services are provided on a subscription basis. You agree to pay all applicable fees according to your selected plan. Fees are billed in advance and are non-refundable except as expressly stated.

Late Payments

If payment is not received when due, we may suspend or terminate your access to the Services. You remain liable for all unpaid fees plus any collection costs.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUENORTH DIRECT SHALL NOT BE LIABLE FOR:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES

DAMAGES RESULTING FROM AI AGENT ERRORS OR MISCOMMUNICATIONS

THIRD-PARTY ACTIONS OR SYSTEM INTEGRATIONS

FORCE MAJEURE EVENTS BEYOND OUR REASONABLE CONTROL

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless TrueNorth Direct from any claims, damages, losses, or expenses arising from: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of applicable laws, or (d) your processing of customer data through our Services.

12. Termination

Termination by You

You may terminate your account at any time by contacting us or through your account settings. Termination does not relieve you of payment obligations for the current billing period.

Termination by Us

We may suspend or terminate your access immediately if you violate these Terms, fail to pay fees, or engage in prohibited activities.

Effect of Termination

Upon termination, your access to the Services will cease, and we may delete your data according to our data retention policies. Provisions that should survive termination will remain in effect.

13. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.

Arbitration

Any disputes arising from these Terms or the Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except for claims involving intellectual property rights.
